SENIORLY TERMS OF USE

Please read these Terms of Use carefully. They require arbitration and waiver of a jury trial and class action suits.

Thank you for your interest in Seniorly, Inc. (“Seniorly,” “we,” or “us”). These Terms of Use (“Terms”) govern your access to and use of (1) the Seniorly website located at Seniorly.com (the “Website”), and (2) Seniorly’s proprietary applications, tools, software, and related services made available by Seniorly (the “Platform”). The Platform includes Seniorly’s proprietary software and related services made available, as applicable, to senior living communities, advisors, and other users of our services and offerings (each, a “User”).

Collectively, the Website, the Platform, and any services, content, and functionality offered through the Website or Platform are referred to in these Terms as “Seniorly Services” or “Services.”

By registering a new account, accessing, or using any portion of the Services, you agree to these Terms. If you do not agree to the Terms, do not access or use the Services.

Your use of the Services is subject to our Privacy Policy and Notice at Collection (“Privacy Policy”). Please review the Privacy Policy, which describes we collect, use, disclose, and protect personal information and outlines your rights under Applicable Data Privacy Laws. Nothing in these Terms is intended to waive or limit any consumer rights under Applicable Data Privacy Laws.

By agreeing to the Terms, you represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you have not previously been suspended or removed from the Services; and (c) your use of the Services complies with all applicable laws and regulations. If you do not meet all of these requirements, you must not access or use the Services.

Definitions

Affiliate” means any company that directly or indirectly controls, is controlled by, or is under common control with another company. For this definition, “control” means the direct or indirect ownership of at least fifty percent (50%) of the voting shares or interests of a company, or the power to direct the company’s management and policies

Applicable Data Privacy Laws” means all applicable state and federal statutes, regulations, or other laws pertaining to privacy and information security, and consumer communications, including, without limitation, the California Consumer Privacy Act (Cal. Civ. Code § 1798.100 et seq.), as amended, by the California Privacy Rights Act; the Telephone Consumer Protection Act (47 U.S.C. §227); the CAN‑SPAM Act (15 U.S.C. §7701 et seq.); and guidance issued by the Federal Trade Commission pursuant to its authority under Section 5 of the FTC Act (15 U.S.C. § 45).

Confidential Information” means any non-public information disclosed by one party to the other, in any form, including, for example, business information, technical information, and other proprietary information. Confidential Information does not include information that becomes public through no breach of the Terms, was already known by the receiving party, is lawfully obtained from a third party without confidentiality obligations, or is independently developed without reference to the other party’s Confidential Information.

Intellectual Property Rights” means all intellectual property and proprietary rights of any kind, worldwide, whether registered or unregistered, including patents, trademarks, service marks, trade names, domain names, copyrights (including software rights), moral rights, trade secrets, know-how, and any applications or registrations for any of the foregoing.

Marks” means trademarks, service marks, logos, and trade names.

What We Do

Seniorly is a senior living information portal that lists senior living and care services, as well as educational and informational resources for aging care. Seniorly works with independent living, residential care homes, assisted living, memory care, skilled nursing, independent living communities, and similar facilities (“Participating Communities”). Seniorly also works with local placement agents and geriatric care managers to assist families in person or over the phone (“Advisors”). Families can review detailed information about local and national Participating Communities, and get personalized, knowledgeable assistance by telephone or in-person from a local Advisor.

Based on a family’s stated needs and preferences, we provide that family with information about Participating Communities or other relevant services or providers. If a family requests assistance with finding a senior living community, we forward such family’s information to Participating Communities or Advisors, as applicable. If a family requests assistance with finding home care services, we forward such family’s information to our Affiliate, CareScout, LLC (“CareScout”) for assistance. Unless otherwise specified, Seniorly collects compensation from Participating Communities or Advisors.

Participating Communities

Participating Communities are solely responsible for evaluating, accepting or declining, and caring for all residents, including ensuring that they are appropriately staffed, hold applicable licensure, and that staff are appropriately qualified, current on education, and possess the necessary facilities, resources, and equipment to competently provide the services and care required by residents, whether referred from Seniorly or a Partner Agent. Each Participating Community is responsible for the conditions at its community and the training of and acts and omissions of its employees, contractors, vendors, and any other individual who works at or for a community.

We do not ensure or guarantee the accuracy of the information posted by or for a Participating Community on the Website, and do not take any responsibility or assume any liability for actions you may take as a result of reading the information posted by or for a Participating Community on the Website. By using the Services, you assume all associated risks.

Limitations on Seniorly Services

No endorsement; no affiliation; not a broker

Seniorly provides an information service. We may rank or otherwise tailor the presentation of senior living communities by certain metrics and/or consumer-selected preferences on the Website, but we exercise no independent judgment as to the quality of, nor do we control or endorse any Participating Community. We do not: (a) place the consumer in any Participating Community; (b) perform any medical assessment of or for the consumer or the Participating Community; or (c) participate in the consumer’s and Participating Community’s decision regarding final selection or admittance. Further, we are not a representative of, broker for, or agent for either the consumer or the Participating Community and do not act on either’s behalf. It is the responsibility solely of the Participating Community and the potential resident, and/or the potential resident’s family and care provider(s) and/or other involved parties acting on the potential resident’s behalf, to determine if any person is an appropriate admission to the Participating Community.

No professional advice

All information, materials, content, and advice on the Website or provided through Seniorly Services are for informational purposes only and are not intended to replace or substitute any financial, medical, legal, or other similar professional advice. Seniorly expressly disclaims, and you expressly release Seniorly from, any and all liability concerning any treatment, action by, or effect on any person following the information offered or provided within or through the Services. You should consult with an appropriately trained professional for all concerns that require financial, medical, legal, or other similar professional advice.

Fees and Payment

You may be required to pay fees to access certain features of the Services. All fees are in U.S. dollars and are non-refundable. If Seniorly implements, changes, modifies, or waives the fees for all or part of Seniorly Services, including by adding fees or charges, Seniorly will provide you with advance notice of those changes. If you do not accept the changes, Seniorly may restrict your access to certain features of the Services or discontinue providing the applicable part of the Services to you.

Seniorly’s authorized third-party payment processor will charge the payment method you specified at the time of purchase. Seniorly may change payment processors at any time and in its sole discretion. You authorize Seniorly to charge fees for the Seniorly Services you select to that payment method, and you grant Seniorly the right to provide such information to third parties for purposes of facilitating any transactions. If you pay any fees with a credit card, you represent and warrant that you have the right to use any credit card that you submit, and Seniorly may seek pre-authorization of your credit card account before your purchase to verify that the credit card is valid and has the necessary funds or credit available to cover your purchase.

User Accounts; User Content

To access some features of the Services, you may be required to register for an account. When you register for an account, you may be required to provide us with some information about yourself, such as your email address or other contact information. You represent and warrant that the information you provide is accurate and complete and that you will keep it accurate, complete, and up to date at all times.

When you register, you may be asked to provide a password or other access credentials. You are solely responsible for maintaining the confidentiality of your account and credentials, and you are responsible for all actions taken via your account. You agree to notify us immediately of any unauthorized access to or use of your username or password. We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion.

For purposes of these Terms, (a) “User Materials” means images, photos, video, data, text, listings, and any other content you upload or otherwise provide through the Services; and (b) “User Data” means data, information, and content submitted, uploaded, transmitted, or otherwise made available by or on behalf of a User through the Platform, including without limitation business listings, pricing, availability, and other operational data). Together, User Materials and User Data are referred to as “User Content.”

User Content Representations

You represent and warrant that you have all rights and authority necessary to submit User Content and to use the Platform in compliance with these Terms and applicable law, and that any User Content you provide to Seniorly for use in connection with the Platform does not and will not infringe the intellectual property, publicity, privacy, or other rights of any person and is not defamatory, obscene, or in violation of Applicable Data Privacy Laws or any other applicable laws, rules, or regulations.

Using the Services (License and Acceptable Use)

Limited license to access and use the Services

Subject to compliance with the Terms, Seniorly grants you a limited, non-sublicensable, non-transferable, revocable license to access and use the Services and any content, data, information, and materials included on or through the Services (the “Service Materials”) solely for your permitted purposes within the Services. This license is revocable by Seniorly at any time and in our sole discretion.

User Content license

You retain ownership rights in your User Content. However, by making User Content available through the Services, you grant Seniorly and its Affiliates a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, modify (for technical purposes such as formatting or optimization), create derivative works from, and display such User Content solely for the purpose of operating, providing, and/or improving the Services, and otherwise as described in the Privacy Policy. This license remains in effect for as long as necessary to provide the Services or until you remove the applicable User Content, and will survive expiration or termination of these Terms as required for Seniorly to exercise the rights granted herein, maintain business records, or comply with legal obligations.

Content provided by properties and communities

By providing text, photographs, images, videos, audio content, and/or other content (“Content”) to Seniorly or by making Content available to Seniorly, including by making Content publicly available, you grant Seniorly a non-exclusive license to use, display, and/or reproduce such Content. You represent and warrant that (1) you own all right, title, and interest in and to the Content or otherwise possess the necessary rights and consents to allow Seniorly to use the Content in connection with the Services, and (2) the Content and Seniorly’s exercise of its rights with respect thereto do not and shall not infringe, misappropriate, or violate any rights of any third party. You agree to indemnify, defend, and hold harmless Seniorly and its Affiliates, and its and its Affiliates’ directors, officers, employees, agents, successors, and assigns harmless from liability or expense (including reasonable attorneys’ fees) from any third-party claim related to or arising from infringement by Seniorly’s use of the Content.

Feedback

If you provide feedback, ideas, proposals, or suggestions to Seniorly about the Services, such feedback is voluntarily provided and not confidential. Seniorly may use it for any purpose without obligation to you.

Use Restrictions; Prohibited Uses

You will not use the Services other than for their intended purpose or in any way that is unlawful or harmful to Seniorly. Except as expressly permitted by these Terms or as expressly and mutually agreed in writing, you will not:

  • Allow any third party to access or use the Platform through your account.
  • Decompile, disassemble, decode, reverse engineer, adapt, or otherwise attempt to derive or gain access to any software component of the Services or trade secrets therein.
  • Copy, modify, or create derivative works of the Services or any software component, in whole or in part.
  • Rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services or any documentation.
  • Use the Services or any Seniorly confidential information to develop a competing product or service.
  • Remove any copyright, trademark, proprietary rights, disclaimer, or warning notice included on or embedded in any part of the Services.
  • Use the Services in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law.
  • Use the Services for commercial purposes other than those limited commercial uses described herein or expressly contemplated by agreement with Seniorly.
  • Conduct or promote any illegal activities while using the Services.
  • Upload, attempt to upload, or otherwise transfer any virus, worm, trap door, back door, Trojan horse, timer, clock, counter, or other limiting or malicious routine, instruction, or design that would cause harm to the Services or Seniorly’s systems or data.
  • Interfere in any way with the proper functioning of the Services or interfere with or disrupt any servers or networks connected to the Services.
  • Engage in the practices of “screen scraping,” “database scraping,” “data mining” or any other activity with the purpose of obtaining lists of users or other information from the Services.
  • Attempt to gain access to secured portions of the Services.
  • Circumvent or attempt to circumvent any security measures used by or for Seniorly.
  • Use the Services to generate unsolicited email advertisements or spam.
  • Use the Services to stalk, harass, or harm another individual.
  • Impersonate any person or entity or otherwise misrepresenting your affiliation with a person or entity.
  • Post, transmit, or otherwise make available through or in connection with the Services any materials that are or may be: (a) threatening, harassing, degrading, hateful, or intimidating; (b) defamatory, libelous, fraudulent, or otherwise tortious; (c) obscene, indecent, pornographic, or otherwise objectionable; (d) protected by intellectual property or any other proprietary right, without the necessary consents; or (e) harmful to minors.
  • Mirror or frame the Website, place pop-up windows over its pages, or otherwise affect the display of its pages.
  • Engage in any other action in any way that is unlawful or harmful to Seniorly.

Platform Availability; Support; Security; Confidentiality

Availability

Seniorly will use commercially reasonable efforts to make the Platform available. From time to time, the Platform may be unavailable due to maintenance, updates, emergency maintenance, or factors outside of Seniorly’s control (including third-party software, hardware, telecommunications failures, Internet slow-downs or failures, and force majeure events). Seniorly conducts scheduled maintenance on a regular basis and will make reasonable efforts to give Users advance notice of such maintenance.

Connectivity

You are solely responsible for all telecommunications, Internet connections, hardware, and software required to access the Platform, including all associated costs and fees.

Additionally, Seniorly is not liable or responsible for any use or any results obtained using the Platform in conjunction with any services, software, or hardware that are not directly provided to you by Seniorly. All such use will be at your sole risk.

Support and maintenance

Seniorly will provide reasonable support during Seniorly’s then-current business hours. Seniorly may provide Platform updates and bug fixes that Seniorly in its sole discretion makes generally available to its other similarly situated users at no charge.

To the extent Seniorly makes documentation available for the Platform (the “Documentation”), Seniorly may, in its discretion, use commercially reasonable efforts address reproducible errors in the Platform reported to Seniorly.

Information security

Seniorly will maintain administrative, technical, and physical safeguards to protect the confidentiality, availability, and integrity of User Data, consistent with applicable law and Seniorly’s current practices. Seniorly will promptly report to Users any actual compromise of security that it becomes aware of that impacts the security of User Data.

Confidentiality

If you receive non-public information from Seniorly or through the Platform that is identified as confidential or that reasonably should be understood to be confidential (“Confidential Information”), you will keep such Confidential Information confidential and use it only for purposes of using the Services in accordance with these Terms. You will not disclose Confidential Information except to your employees and contractors who need to know it for those purposes and are bound by confidentiality obligations at least as protective as those described herein. You will protect Confidential Information with the same degree of care you use to safeguard your own similar information, and at a minimum no less than reasonable care. These confidentiality obligations remain in effect during your use of the Platform and for three (3) years after termination of access, and with respect to trade secrets, for so long as the information remains a trade secret.


Termination and Suspension

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon such termination or suspension, your right to use the Services will immediately cease.

In addition, Seniorly may, in its sole discretion, suspend access to the Platform to prevent damages or risk to, or degradation of, the Platform; to comply with applicable law or governmental requests; to protect Seniorly from potential legal liability; or in the event amounts owed to Seniorly pursuant to a signed agreement between you and Seniorly remain unpaid after the applicable due date. Seniorly will use reasonable efforts to provide notice prior to or promptly following any suspension and will restore access as soon as the event giving rise to suspension has been resolved.

This section will not be construed as imposing any obligation or duty on Seniorly to monitor use of the Platform.

Provisions of the Terms that should by their nature survive termination or suspension of your access to the Services will survive, including without limitation: Confidentiality; Intellectual Property Ownership; the User Content license; disclaimers; limitation of liability; indemnification; dispute resolution; and, if applicable, any payment obligations.

Intellectual Property

Seniorly’s Intellectual Property

As between you and Seniorly, the Services (including all content, materials, software, features, functionality, and other components) and all intellectual property rights therein and thereto are owned exclusively by Seniorly and its licensors. Seniorly and its Affiliates or licensors own the Seniorly, Inc. name, the Seniorly logo, and all related trademarks, service marks, trade names, designs, slogans, and other brand identifiers used in or in connection with the Services (“Seniorly Marks”). All other trademarks are the property of their respective owners. You receive no ownership interest in the Services, Seniorly’s intellectual property, or Seniorly Marks.

Reservation of Rights; No Implied Licenses

Except for the limited rights expressly granted in these Terms, no license or other rights are granted to you in the Services, Seniorly’s intellectual property, or any Seniorly Marks (whether by implication, estoppel, or otherwise), and all rights are reserved by Seniorly and its licensors. You will not use the Services, Seniorly’s intellectual property, or Seniorly Marks except as expressly permitted under these Terms.

Limited License to Use Seniorly Marks; Restrictions and Brand Controls

Subject to your compliance with these Terms and any brand guidelines Seniorly provides, Seniorly grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use Seniorly Marks solely as expressly permitted through the Services or in writing by Seniorly. Subject to your compliance with these Terms and any brand guidelines Seniorly provides, Seniorly grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use Seniorly Marks solely as expressly permitted through the Services or in writing by Seniorly. You will not: (i) use Seniorly Marks in any domain name, advertising, branding, or promotional materials without Seniorly’s prior written consent; (ii) use Seniorly Marks in connection with any product or service that is not Seniorly’s; (iii) use Seniorly Marks in any manner likely to cause confusion; (iv) adopt, use, or attempt to register any mark confusingly similar to Seniorly Marks; or (v) use Seniorly Marks in a manner that creates a combination mark. At Seniorly’s request, you will promptly modify or discontinue any use of Seniorly Marks. Seniorly may change its name and/or branding at any time in its sole discretion.

License to Seniorly

If you provide Seniorly with any trademarks, service marks, logos, trade names or similar brand identifiers (“Your Marks”) for use in connection with the Services (for example, for community profiles, business listings, marketing, or identifying you as a participant in the Services), you grant Seniorly and its Affiliates a limited, non-exclusive, worldwide, royalty-free, revocable license to use, display, and reproduce Your Marks solely to operate, provide, market, and promote the Services and your participation in them.

Ownership of Marks; No Challenge

As between you and Seniorly, each party retains all right, title, and interest in and to its own Marks, and except for the limited licenses expressly granted in this section, neither party grants the other any rights in its Marks. Each party acknowledges the other party’s exclusive ownership of its Marks and will not take any action inconsistent with such ownership, including challenging the validity, enforceability, or ownership of the other party’s Marks. The party receiving a license to use the other party’s Marks will reasonably cooperate, at the Mark owner’s request and expense, in any action the Mark owner reasonably deems necessary or desirable to establish, maintain, or enforce its rights in its Marks.

You may not use any Confidential Information you receive from Seniorly or through the Services to contest the validity, enforceability, or ownership of any Seniorly intellectual property rights. Doing so constitutes a material, non-curable breach of these Terms.

Copyright Infringement Notices and DMCA Notices

The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that materials available on or via the Services infringe your copyright, you (or your agent) may send us a written notice by mail, e-mail or fax, requesting that we remove such material or block access to it. If you believe in good faith that someone has wrongly filed a notice of copyright infringement against you, the DMCA permits you to send us a counter-notice. Notices and counter-notices must meet the then-current statutory requirements imposed by the DMCA. See https://www.copyright.gov/ for details.

Third-Party and Linked Services

The Services may permit access to products, content, services, information, websites, or other materials that are owned by third parties and are incorporated or accessible through the Services (each, a “Third-Party Provider”). We may provide links to external sites (“External Sites”) for your convenience only. We do not control External Sites and are not responsible for their content. Our inclusion of links does not imply endorsement.

Third-Party Providers are solely responsible for their services. Your use of third-party sites, services, or products may be subject to associated third-party terms and conditions and privacy policies or other agreements, which you are solely responsible for complying with. Seniorly is not responsible for any damages or costs of any type arising out of or in any way connected with your dealings with third parties.

Disclaimers and Liability

Disclaimer

The Services and all materials, links, information, products, and other services provided on or through the services are provided on an “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS” basis without warranties of any kind, either express or implied. Your use of the Services is at your sole risk.

To the maximum extent permitted by applicable law, Seniorly and its Affiliates and their respective officers, directors, employees, agents, representatives, licensors, vendors, successors, and assigns (collectively, the “Seniorly Parties”) DISCLAIM ALL WARRANTIES, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, non‑infringement, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.

The Services may enable access to or transmission of information over the Internet. Seniorly does not operate or control the Internet and is not responsible for viruses, worms, Trojan horses, or other harmful code, or for unauthorized access to or damage of your data, websites, devices, or networks. You are solely responsible for maintaining adequate backups of your data.

No oral or written information or advice provided by Seniorly or its authorized representatives creates any warranty or expands Seniorly’s obligations beyond those expressly stated in these Terms.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event will any Seniorly Party be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business interruption, arising out of or relating to the Services, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if advised of the possibility of such damages.

Your sole and exclusive remedy for dissatisfaction with the Services is to stop using the Services.

To the maximum extent permitted by applicable law, the maximum aggregate liability of the Seniorly Parties for all claims arising out of or relating to the Services will not exceed the greater of (a) $100 or (b) the total amount, if any, paid by you to Seniorly for use of the Services during the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you.

For clarity, the limitations in this Section do not apply to and do not limit indemnification obligations in the Terms.

Indemnification

You agree to defend, indemnify, and hold Seniorly, its Affiliates, and their respective officers, directors, shareholders, employees, agents, representatives, successors, and assigns, harmless from any claim, demand, loss, damage, liability, cost, or expense, including reasonable attorneys’ fees, arising out of or relating to: (a) your use of the Services, including the Platform, in violation of these Terms; (b) your User Content; (c) your use or combination of the Platform with any hardware, software, products, data, or other materials not provided by Seniorly; (d) modification or alteration of the Platform by anyone other than Seniorly; or (e) the infringement by you of any intellectual property or other right of any person or entity.

Changes

We reserve the right to change, modify, suspend, or cease providing the Services at any time, without notice. We may update these Terms at any time in our sole discretion. If we do, we will post the updated Terms on the Website and revise the “Last Updated” date above. The updated Terms are effective when posted and apply going forward; they will not apply to disputes that arose before the posting date. Your continued use of the Services after posting constitutes acceptance of the updated Terms.

Limitations on the Terms

The Terms of Use do not create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and Seniorly. If any part of the Terms of Use is determined to be invalid or unenforceable, then the invalid or unenforceable provision will be replaced with a valid and enforceable provision that most closely matches the intent of the original provision and the remainder will continue in effect.

The section headings are for convenience only. Any use of the term “including” shall be construed as if followed by the phrase “without limitation.” You may not assign the Terms or your rights or obligations thereunder without Seniorly’s prior written consent.

No Waiver

No failure or delay by Seniorly in exercising any right under these Terms will operate as a waiver of that right, nor will any single or partial exercise of any right preclude any other or further exercise of that right or any other right.

Other Agreements; Order of Precedence

These Terms, together with any additional terms and the Privacy Policy, constitute the entire agreement between you and Seniorly regarding your access to and use of the Services, and supersede all prior or contemporaneous understandings and communications regarding that subject matter.

If you or the entity you represent have entered into a separate written agreement with Seniorly or any Seniorly Affiliate (including CareScout, LLC) that governs any Services, then (1) that separate agreement controls with respect to the Services and subject matter it covers, (2) these Terms apply to the extent the separate agreement is silent, and (3) in the event of a conflict or inconsistency between these Terms and the separate agreement, the separate agreement will control.

Jurisdiction; Governing Law; Disputes

U.S. Jurisdiction

The Services are controlled or operated (or both) from the United States and are not intended to subject Seniorly to any non-U.S. jurisdiction or law. The Services may not be appropriate or available for use in some non-U.S. jurisdictions. Any use of the Services is at your own risk, and you must comply with all applicable laws, rules, and regulations in doing so. We may limit the Services’ availability at any time, in whole or in part, to any person, geographic area, or jurisdiction.

Governing Law

The Terms of Use are governed by the laws of the State of New York, without giving effect to its conflict of laws provisions. 

Arbitration

Subject to and without limiting the provision on governing law, you agree that any dispute between you and Seniorly arising out of or relating to the Terms or the Services will be decided only by binding arbitration, on an individual basis and not on a class-wide, consolidated, joint, representative, or private attorney general basis. You knowingly waive any right to participate in any form of class, consolidated, joint, or representative, or private attorney general action against Seniorly. Any arbitration will be administered by the American Arbitration Association and will take place in New York, NY, U.S.A.

Jury Trial Waiver

YOU AND SENIORLY IRREVOCABLY WAIVE ANY AND ALL RIGHT TO A TRIAL BY JURY WITH REGARD TO ANY DISPUTE, CLAIM, QUESTION, OR DISAGREEMENT ARISING OUT OF OR RELATING TO OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.

If a court decides that the terms of this section (Jurisdiction; Governing Law; Disputes) are not enforceable or are invalid, then this section shall cease to have effect; provided, however, that the remaining portions of the Terms of Use will remain in full force and effect.
